What is a Mandate?
A mandate is a formal authorization granted by a company to an individual or legal entity, empowering them to act on behalf of the company in specific matters, such as filing beneficial ownership information with the Companies and Intellectual Property Commission (CIPC).

Key Components of a Mandate

  • Details of the authorized individual, including full name and ID number
  • The specific authority granted (e.g., submission of beneficial ownership details)
  • A certified copy of the individual’s ID
  • Signatures of at least 50% +1 of the directors of the company (for ordinary resolutions) or all members in the case of a close corporation

Why is a Mandate Necessary?
A valid mandate ensures that the individual acting on behalf of the company is doing so legally and with the company’s full consent. It is a crucial document when filing statutory information, preventing unauthorized actions and ensuring compliance with legal requirements.

How to Obtain a Mandate
The mandate can take the form of a resolution, letter, or power of attorney, provided it is signed by the required number of directors or members and includes all supporting documentation. This document must be submitted to the CIPC when performing actions like filing beneficial ownership details or making changes to company records.
